Проблеми обмеження дієздатності юридичної особи в процедурі банкрутства

Abstract

Актуальність тематики дослідження проблеми обмеження дієздатності юридичної особи в процедурі банкрутства полягає в тому, що в Україні зросла кількість банкрутств та прогнозується подальше їх збільшення у зв'язку з подіями, що відбуваються. Існує гостра необхідність захисту прав кредиторів та інших учасників процедури банкрутства. Для збереження економічного потенціалу країни необхідно проаналізувати як обмеження дієздатності юридичної особи впливає на права та інтереси кредиторів включно із питанням стягнення боргів, реалізації активів та захисту їхніх інвестицій. Потрібно вдосконалювати існуючі правові норми щодо обмеження дієздатності юридичної особи в процедурі банкрутства. Для формування напрямків вирішення даної проблеми нам потрібно проаналізувати ефективність застосування обмежень дієздатності юридичної особи для досягнення цілей процедури банкрутства, таких як оздоровлення або ліквідація боржника. Також необхідно визначити систему процедури банкрутства, порядок її запровадження та оцінити вплив на дієздатність юридичної особи в процесі реалізації її правоздатності, дослідити компетенцію органів управління юридичної особи у процедурах спостереження та фінансового оздоровлення, у процедурі зовнішнього управління, у процедурах конкурсного виробництва та мирової угоди. Важливо оцінити можливі адміністративні бар'єри та бюрократичні складнощі, пов'язані з обмеженням дієздатності юридичної особи. Це може включати питання координації між різними органами влади та залучення експертів. Визначити правовий статус арбітражного керуючого, зборів кредиторів, комітету кредиторів, а також їх роль в управлінні юридичною особою, виявивши цілі правового регулювання діяльності юридичної особи під час банкрутства, сформулювавши особливості динаміки дієздатності юридичної особи під час банкрутства у процесі реалізації її правоздатності. Необхідним є визначення того, як обмеження дієздатності юридичної особи впливає на її здатність виконувати договірні зобов'язання перед контрагентами, оскільки це може мати значні наслідки для економічних відносин та ланцюгів постачання. The relevance of the topic of research on the problem of limiting the legal capacity of a legal entity in the bankruptcy procedure is that the number of bankruptcies has increased in Ukraine and their further increase is predicted in connection with the events taking place. There is an urgent need to protect the rights of creditors and other participants in the bankruptcy procedure. In order to preserve the economic potential of the country, it is necessary to analyze how the limitation of the legal capacity of a legal entity affects the rights and interests of creditors, including the issue of debt collection, asset realization and protection of their investments. It is necessary to improve the existing legal norms regarding the limitation of legal capacity of a legal entity in the bankruptcy procedure. To form directions for solving this problem, we need to analyze the effectiveness of applying restrictions on legal capacity to achieve the goals of the bankruptcy procedure, such as rehabilitation or liquidation of the debtor. It is also necessary to determine the system of the bankruptcy procedure, the procedure for its introduction and assess the impact on the legal capacity of a legal entity in the process of realizing its legal capacity, to investigate the competence of the legal entity's management bodies in the procedures of monitoring and financial rehabilitation, in the procedure of external management, in the procedures of competitive proceedings and settlement agreements. It is important to assess the possible administrative barriers and bureaucratic complications associated with the limitation of legal capacity of a legal entity. This may include issues of coordination between different authorities and the involvement of experts.To determine the legal status of the arbitration manager, the meeting of creditors, the committee of creditors, as well as their role in the management of a legal entity, identifying the goals of legal regulation of the activity of a legal entity during bankruptcy, formulating the peculiarities of the dynamics of the legal capacity of a legal entity during bankruptcy in the process of realizing its legal capacity. It is necessary to determine how the limitation of legal capacity of a legal entity affects its ability to fulfill contractual obligations to counterparties, as this can have significant consequences for economic relations and supply chains.
